Terms of Service

These Terms of Service ("Terms") are an agreement between you and Lemr LLC ("Lemr," "we," "us," or "our"). They govern your use of lemr.ai and the Lemr advertising management service (together, the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using Lemr for a business, you confirm that you have authority to accept these Terms for that business.

1. The Service

Lemr creates and manages advertising campaigns on Meta platforms, including Facebook and Instagram. Lemr works in the Meta ad account you own and connect. The Service may research your market, generate ad copy and images, build campaigns, monitor them, and make management changes.

New ads are created behind approval gates. Lemr builds them in a paused state, and they cannot spend until you approve them. You keep control of your Meta account, your campaign approvals, and your advertising budget.

2. Eligibility and Your Account

You must be at least 18 years old and legally able to enter into this agreement. You must provide accurate account and business information, keep your login credentials secure, and promptly update information that changes. You are responsible for activity under your Lemr account.

3. Billing and Cancellation

Lemr costs $59 per month. The subscription includes 100 ad images per monthly billing period. Each additional group of 100 ad images costs $15. Stripe processes Lemr subscription and image charges.

By subscribing, you authorize Lemr and Stripe to charge your payment method when your subscription begins, on each monthly renewal date, and for any additional image groups you use. Taxes may be added where required. Lemr fees are non-refundable except where the law requires otherwise.

You may cancel anytime through your account or by contacting support@lemr.ai. Cancellation takes effect at the end of your current paid billing period. You will not be charged for a later renewal after cancellation takes effect.

4. Meta Account, Ad Spend, and Your Responsibilities

You must own or control the Meta ad account and Facebook Page you connect to Lemr. You authorize Lemr to access those assets only as needed to provide the Service. You pay Meta directly for all advertising spend; Meta charges are separate from Lemr fees.

5. Approval Gates and Automated Actions

Lemr may automatically create, modify, monitor, or pause campaigns and ads according to your approvals, account settings, and daily spend cap. Approved campaigns may be adjusted or paused as part of routine management. Lemr will not make a new ad eligible to spend before you approve it, and Lemr will not intentionally raise your daily cap without your direction.

You can pause campaigns, revoke Lemr's Meta access, or change your settings. Doing so may limit or stop the Service from working.

6. Acceptable Use

You may not use the Service to advertise anything illegal, fraudulent, deceptive, harmful, or prohibited by Meta. You may not infringe another person's rights, upload malicious code, interfere with the Service, attempt unauthorized access, reverse engineer the Service where prohibited by law, or use Lemr to send unlawful or abusive communications. We may refuse or restrict campaigns that create legal, safety, platform-policy, or reputational risk.

7. Content and Intellectual Property

You keep ownership of your business names, logos, images, information, and other content you provide. You give Lemr a non-exclusive, worldwide license to host, process, adapt, and use that content only to operate, support, secure, and improve the Service and to create and manage your campaigns.

Lemr owns the Service, software, workflows, models, designs, trademarks, and other underlying technology. After you pay all applicable fees, you may use the ad copy and images Lemr creates for your business. Third-party content and services remain subject to their own terms.

8. No Performance Guarantees

Lemr does not guarantee leads, sales, conversions, reach, impressions, revenue, return on ad spend, account approval, or any other advertising result. Advertising outcomes depend on factors outside Lemr's control, including your offer and market, customer behavior, competition, budget, Meta's auction and algorithms, Meta policies, and platform availability. You remain responsible for deciding whether advertising is suitable for your business and budget.

9. Service Provided AS IS

To the fullest extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE." Lemr disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. Generated content may contain errors, so you must review it before approval. Some laws do not allow certain disclaimers, so part of this section may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law, Lemr will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, data, goodwill, advertising spend, or opportunities. Lemr is not responsible for Meta outages, policy decisions, ad rejections, account restrictions, billing actions, auction outcomes, or other third-party conduct.

Lemr's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the Lemr fees you paid during the three months immediately before the event giving rise to the claim. This limit does not apply where the law does not allow it.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lemr, its affiliates, and their owners, officers, employees, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your business, your content or advertising claims, your use of the Service, your handling of leads or personal information, your violation of these Terms, or your violation of law, Meta policies, or another person's rights.

12. Suspension and Termination

You may stop using the Service and cancel your subscription at any time. Lemr may suspend or terminate access if you do not pay amounts due, violate these Terms, create legal or platform risk, misuse the Service, or if continuing to provide the Service is no longer reasonably possible. When access ends, Lemr may pause campaigns it manages. Sections that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, liability limits, indemnification, and governing law—will survive.

13. Changes to the Service or These Terms

We may change the Service and these Terms. If a change is material, we will provide reasonable notice through the Service, by email, or on our website. Updated Terms apply on the stated effective date. If you do not agree to a change, you may cancel before it takes effect.

14. Governing Law

Tennessee law governs these Terms, without regard to conflict-of-law rules. Any dispute must be brought in a state or federal court located in Tennessee, and you and Lemr consent to those courts' jurisdiction and venue.

15. General Terms

These Terms and the Privacy Policy are the entire agreement between you and Lemr about the Service. If one provision is unenforceable, the remaining provisions stay in effect. Lemr's failure to enforce a provision is not a waiver. You may not assign these Terms without Lemr's written consent; Lemr may assign them as part of a merger, acquisition, reorganization, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
