These Terms of Service ("Terms") govern your use of the Lemr website at lemr.ai and our advertising management service (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

Lemr is an AI-powered advertising management service. We research your market, create ad campaigns, launch them on Meta platforms (Facebook and Instagram), and optimize them on an ongoing basis. The Service is designed so that you provide information about your business and we handle the rest.

Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent that you meet these requirements.

Your Account

You are responsible for maintaining the security of your account credentials. You agree to provide accurate and complete information during onboarding and to update it if anything changes. You are responsible for all activity that occurs under your account.

Subscription and Payment

The Service is offered on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis at the rate associated with your selected plan. Your subscription includes both the Lemr service fee and a managed ad spend component.

Prices are subject to change. We will notify you of any price changes at least 30 days before they take effect. If you do not agree to a price change, you may cancel your subscription before the new price applies.

All fees are non-refundable except as required by law or as otherwise stated in these Terms.

Managed Ad Spend

Your ad budget is paid to Lemr as part of your subscription. Lemr handles all payments to Meta on your behalf — you never interact with Meta's billing system directly. At least 90% of your ad budget is allocated directly to Meta ad spend each month. The remaining portion covers the operational cost of managing your ad account, handling billing logistics, and absorbing spend fluctuations on your behalf.

Lemr controls the pacing, targeting, and distribution of your ad spend to maximize campaign performance. Monthly ad spend may vary slightly based on campaign pacing and platform dynamics, but will not exceed your designated budget without your approval.

You acknowledge that advertising results depend on many factors outside of Lemr's control, including market conditions, competition, the strength of your business's offer, audience behavior, and changes to Meta's platform or algorithms. The Service we provide is the creation, management, and optimization of advertising campaigns.

From time to time, Lemr may offer promotional guarantees or satisfaction commitments (for example: "if you don't get at least 3 leads in your first 30 days, your second month's management fee is waived"). The specific terms of any such offer are as stated at the time of purchase and take precedence over the general disclaimers in these Terms. These promotional offers represent Lemr's commitment to earning your trust — not a guarantee of any specific advertising outcome. Eligibility, definitions, and redemption terms are determined at Lemr's reasonable discretion.

Ad Account and Meta Management

Lemr manages all interactions with Meta's advertising platform on your behalf. This includes creating ad accounts, setting up campaigns, and handling all technical and billing aspects of running ads on Facebook and Instagram. You do not need to access or manage anything within Meta's ad system.

If you cancel your subscription, Lemr will pause all active campaigns. Historical campaign performance data is retained for up to 12 months following cancellation.

You retain ownership of your Facebook Page and any original business content you provide to us.

Your Content and Information

You grant Lemr a non-exclusive, worldwide license to use the business information, images, logos, and other content you provide ("Your Content") for the purpose of creating and managing your advertising campaigns. This license lasts for the duration of your subscription and a reasonable period afterward to wind down active campaigns.

You represent that you have the right to provide any content you share with us and that Your Content does not violate any third party's rights. You are responsible for the accuracy of the business information you provide, including pricing, claims, offers, credentials, and any regulated or licensed status that appears in your ads. If your business requires specific licenses, certifications, or disclosures to advertise legally, you are responsible for informing Lemr and ensuring that information is accurate and current.

Your Facebook Page and Partner Access

To use the Service, you grant Lemr partner access to your Facebook Page through Meta's Business Manager. The level of access you grant includes administrative permissions, which means Lemr technically has the ability to manage your Page beyond just running ads. However, Lemr will only use this access to publish and manage advertising campaigns on your behalf. Lemr will not modify your Page's content, settings, branding, or user roles unless you explicitly request it.

You retain full ownership of your Page at all times. You may revoke Lemr's partner access at any time through your Facebook Page settings or Meta Business Manager, though doing so will immediately prevent Lemr from managing your campaigns. If you have concerns about the level of access granted, contact us and we will work with you to address them.

AI-Generated Content and Accuracy

Lemr uses artificial intelligence to research your market, generate ad creative, and manage campaigns. While we design our systems to produce high-quality, accurate advertising content, AI-generated output may occasionally contain errors, inaccuracies, or content that does not perfectly reflect your business. Lemr reviews and quality-checks campaigns, but does not guarantee that every piece of ad content will be error-free.

You are encouraged to review campaign details when provided and to notify us promptly if you identify any inaccuracies in how your business, services, pricing, or claims are represented. Lemr will correct identified issues as quickly as possible. Lemr is not liable for damages arising from temporary inaccuracies in AI-generated ad content, provided we act promptly to correct them once identified.

Lead Data

Leads generated by your campaigns are delivered to you and become your responsibility. You agree to handle all lead data in compliance with applicable privacy laws and your own published privacy policy. Lemr is not responsible for how you contact, store, or use lead data after delivery.

Privacy Policy Requirement

Meta requires a privacy policy URL for lead form advertising. You are responsible for maintaining a valid privacy policy for your business. If you do not have one, Lemr may provide a standard privacy disclosure page for your lead forms, but this does not constitute legal advice and does not replace your obligation to maintain your own privacy policy.

Acceptable Use

You agree not to use the Service for any business, product, or service that:

Lemr reserves the right to refuse service or terminate your account if we determine, in our sole discretion, that your use violates these Terms or Meta's policies.

Cancellation

You may cancel your subscription at any time. Upon cancellation:

Service Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including outages or changes to Meta's platform or API.

Limitation of Liability

To the maximum extent permitted by law, Lemr's total liability to you for any claims arising from or related to the Service is limited to the amount you paid to Lemr in the three months preceding the claim.

Lemr is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business, or data, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Lemr and its owners, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law, or your handling of lead data.

Intellectual Property

Lemr retains ownership of all proprietary technology, processes, methodologies, and tools used to deliver the Service. Ad creative (copy, images, and designs) created by Lemr for your campaigns is licensed to you for use in connection with your business advertising during and after your subscription.

You may not resell, redistribute, or sublicense Lemr's Service, technology, or methodologies.

Modifications to the Service and Terms

We may modify the Service or these Terms at any time. We will notify you of material changes at least 30 days in advance. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Tennessee.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lemr regarding the Service and supersede any prior agreements.
